Short answer: An overseas vendor does not, by itself, answer whether an NDA must be stamped in India. Stamp duty depends on the instrument’s substance, applicable central and state law, where it is executed or first received, and the relevant state’s amendments and procedures. Some NDAs may be chargeable as agreements; the rate and method cannot safely be stated without those facts.
Stamping is also different from contract formation and electronic signing. An NDA may be accepted online and still raise a stamp-duty question. Conversely, using stamp paper does not make a vague confidentiality promise complete or guarantee that a foreign counterparty can be sued effectively. This guide gives a framework for the questions to check, not a state-specific stamp calculation.
What does stamp duty depend on?
The Indian Stamp Act, 1899 charges duty on instruments listed in the applicable law and schedules. Section 3 contains the charging framework, while the First Schedule and state amendments determine classifications and rates. An NDA is not a single uniform category with one nationwide fee. Its wording and additional obligations can affect how it is characterised.
The central Act also addresses timing. Section 17 generally says an instrument chargeable with duty and executed in India must be stamped before or at execution. Section 18 generally permits certain instruments executed only outside India, and first received in India, to be stamped within three months after first receipt. These provisions must be read with state-specific amendments, state stamp acts where applicable, and rules for the place of execution or use. Do not assume a foreign signature makes Indian stamping irrelevant if the document later enters India or is relied on here.
Important facts include:
- the legal entities signing and their addresses;
- where each party signs and where the fully executed agreement is first received;
- the place where the NDA will be acted upon or produced in evidence;
- whether the NDA is standalone or part of a larger services agreement;
- whether it also contains indemnities, restraints, IP assignments, non-solicits or other promises;
- the governing law and dispute forum;
- which state’s stamp law applies and whether electronic stamping is available.
Because state amendments can materially change the result, have an Indian lawyer or local stamp authority confirm the applicable schedule and method for the intended execution. A blog cannot determine the correct duty amount without the state and document.
Is stamp paper always required for an NDA?
No universal answer applies to every NDA. Some simple agreements may be chargeable under the relevant agreement entry; the duty may be modest, but it still depends on local law. Other terms can change classification. A client should not accept a statement that “every NDA needs ₹100 stamp paper” or “NDAs are never stamped” without checking the current state schedule.
Stamp paper is one possible mode of paying duty. Depending on the state and instrument, e-stamping, franking, impressed stamps, authorised payment or another prescribed method may be available. Check the state’s official system and rules, the permitted denominations, the purchaser details and whether the stamp is valid for that document and place. Do not reuse a stamp certificate for a different instrument or alter a certificate.
What if the foreign vendor signs abroad?
The execution sequence matters. If the NDA is signed only abroad and later first received in India, section 18 of the central Stamp Act provides a three-month period for certain instruments to be stamped after first receipt in India. But state amendments and the exact place of first receipt can affect advice. If the India-side party signs in India while the foreign side signs abroad, the instrument may not fit neatly into the “executed only outside India” wording. Do not decide the timing based only on where the vendor’s signature was applied.
Record the dates and route of execution. Keep the signature audit record, email that transmitted the final signed copy, delivery records, the state in which the Indian party executed it, and where the counterpart was first received. Ask counsel whether the applicable state law treats the counterpart or combined document as chargeable and how to cure a deficiency if one is found.
Fictional example: A Bengaluru software company sends an NDA to a vendor incorporated in Singapore. The vendor signs through an e-sign service, and the Indian company’s director signs while in Karnataka. The final PDF is returned to the company’s Bengaluru legal team. The parties choose Indian law and arbitration in Bengaluru. The company should not assume that the vendor’s overseas signature means the NDA is outside Indian stamp rules. Counsel should check the instrument and Karnataka’s current stamp schedule, execution facts, e-stamp options and the method for preserving the counterpart. The Singapore vendor’s location is also relevant to notice and enforcement, separate from duty.
What happens if the agreement is not stamped correctly?
Section 35 of the central Stamp Act generally restricts admission in evidence of an instrument chargeable with duty that is not duly stamped, subject to statutory procedures for payment of duty and penalty. The precise consequences depend on the applicable law, document and proceeding. An unstamped instrument should not casually be described as “void”; admissibility and enforceability are separate questions, and courts may permit cure in circumstances set out by law. Section 36 addresses when admission of an instrument as evidence cannot be questioned in certain circumstances.
The Supreme Court’s Constitution Bench decision in In Re: Interplay Between Arbitration Agreements… examined stamp duty and arbitration agreements, including the relationship between stamping and the existence or validity of an arbitration agreement. Consult the official Supreme Court judgment and current law before making a claim about a particular arbitration clause. Do not use the case to claim that stamp duty never matters; the statutory duty and the instrument’s admissibility can still require attention.
A missing or defective stamp can therefore create delay, cost, objections or a need to cure. It is usually easier to check the correct state procedure before the NDA is signed than to discover an issue after confidential information has been disclosed or a dispute has started.
Electronic signing does not settle stamp duty
The Information Technology Act, 2000 recognises electronic records and electronic contracts in many situations. Section 10A prevents a contract from being denied enforceability solely because electronic means were used. That recognition does not automatically pay stamp duty or satisfy every state e-stamping rule.
Keep the signature, identity and integrity trail: final version, signer names and authority, timestamps, audit certificate, transmission path, and any e-stamp certificate. For the difference between a signature method and stamp payment, read digital signatures and e-stamping in India. Also check IT Act exclusions for certain document types; a standalone NDA is usually a different question from a power of attorney, trust, will or property conveyance.
Make the NDA operational, not merely stamped
Before signing, define what information is confidential, whether oral disclosures are covered, who may receive it, permitted use, exclusions for public or independently developed information, duration, security steps, required legal disclosures, and return or destruction. Identify affiliates and subcontractors only if they need access, and state who is responsible for their conduct.
Consider whether the vendor needs to retain routine backups, logs or records for legal compliance. Include a realistic deletion process that explains how those copies are protected and when they expire. If personal data is involved, an NDA alone does not establish the parties’ data-protection roles, processing purposes, security duties or cross-border transfer requirements.
For overseas vendors, also review governing law, jurisdiction or arbitration seat, service of notice, language, interim relief, enforcement where assets are located, currency and tax. A clause selecting an Indian forum does not guarantee that a foreign court will enforce every judgment or that a vendor has assets reachable in India. These are separate commercial and legal assessments.
Stamp-paper decision table
| Situation | What to verify | Why it matters |
|---|---|---|
| Both parties execute in one Indian state | Current state schedule, instrument classification, permitted payment method | State amendments can change duty and process |
| One party signs abroad and copy enters India | First-receipt date, central Act section 18, state law | Timing may run from first receipt in India |
| Indian party signs in India, foreign party signs abroad | Place and sequence of execution, counterpart treatment | May not fit a simple “signed abroad” assumption |
| NDA is attached to services agreement | Whether the combined instrument has distinct obligations | A schedule may affect classification or duty |
| E-sign platform is used | Electronic execution evidence and separate e-stamp requirement | E-signing does not itself pay stamp duty |
| Agreement is already unstamped | Cure mechanism, penalties, forum and current case law | Do not destroy or backdate the record |
Frequently asked questions
Can a foreign vendor sign an Indian NDA electronically?
Often the parties can use electronic contracting under the IT Act, but confirm the document type, identity method, authority, applicable law and any formalities. E-signing does not answer stamp duty or cross-border enforceability by itself.
Is a ₹100 stamp paper enough for every Indian NDA?
No. The correct amount and method depend on the state, current schedule, instrument and its additional terms. Do not use one fixed amount as nationwide advice.
If an NDA is unstamped, is it automatically void?
Not necessarily. Stamp law can affect admissibility and may allow duty and penalty to be paid, but the result depends on the instrument, applicable state law and proceeding. “Not stamped” and “no contract exists” are not interchangeable statements.
Should the overseas vendor buy the stamp paper?
The agreement or local law may allocate the practical task, but payment by one party does not alone decide which state law applies or whether duty is correct. Specify who arranges stamping and confirm the chosen method with local counsel.
Does an NDA need registration or notarisation?
Most ordinary NDAs are not automatically subject to registration merely because they are NDAs, but added provisions or the transaction can change that. Notarisation is a separate formality and does not replace stamp duty or prove the parties accepted the same terms.
What if the foreign vendor refuses Indian law and courts?
Negotiate a governing law and dispute forum that both sides can use and that is practical for enforcement. Arbitration may be considered, but seat, institution, costs, interim relief and asset location still matter. Obtain cross-border advice for material disclosures.
Before exchanging confidential information
- Identify the exact contracting entities and authorised signers.
- Review the whole NDA and any attached service terms.
- Confirm where and when each party will execute and receive the final copy.
- Check the current state stamp law, instrument category and approved payment method.
- Keep the signature record and stamp certificate with the executed agreement.
- Define confidentiality, permitted access, exceptions, duration and deletion.
- Review governing law, forum, notice and cross-border enforcement.
- Ask local counsel to confirm duty when the state or instrument is uncertain.
