Short answer: Indian law recognises electronic records and certain electronic signatures, and e-stamping can be an approved way to pay stamp duty where the relevant state system permits it. They solve different problems. A signature helps show assent and, depending on the method, signer identity and record integrity. Stamping pays a fiscal duty required for a chargeable instrument. E-signing does not automatically stamp a document, and e-stamping does not prove that the right person accepted the right version.
The precise method depends on the agreement, state, place of execution and any special statutory formalities. This guide describes the general framework as of 24 October 2026 and does not calculate duty for a particular instrument.
What legal recognition does the IT Act provide?
The Information Technology Act, 2000 gives legal recognition to electronic records and electronic signatures in the circumstances covered by the statute. Section 4 addresses legal recognition of electronic records; section 5 addresses legal recognition of electronic signatures; and section 10A says a contract is not unenforceable solely because proposals, acceptance or revocation were expressed electronically.
That does not mean every electronic mark is a secure digital signature or every online contract is enforceable. The parties must still establish offer and acceptance, capacity, consent, authority, sufficiently certain terms and lawful consideration where required. The record should identify the signer and preserve the exact terms accepted. A typed name or click may help show assent but may offer a different identity and integrity record from a certificate-backed digital signature.
The Act’s First Schedule excludes specified documents or transactions from its general recognition provisions, but the current text includes amendments and exceptions. MeitY notification S.O. 4720(E), dated 26 September 2022, amended the negotiable-instrument entry, added an exception for specified instruments issued in favour of or endorsed by certain regulated entities, amended the power-of-attorney entry to except instruments empowering specified regulated entities, and omitted the former item 5 for sale or conveyance of immovable property. The remaining entries include trusts and wills. The distinction is between IT Act recognition and separate stamp, registration or other execution rules. The official Gazette notification and the CCA gazette index; IT Act recognition does not dispense with stamp duty, registration or other execution formalities that may independently apply to a property instrument.
What is the difference between a digital signature, e-sign and e-stamp?
“Digital signature” has a defined statutory meaning under the IT Act and uses an electronic technique involving cryptographic functions. “Electronic signature” is the broader statutory category that includes digital signatures and other techniques specified under the Act. India’s Controller of Certifying Authorities (CCA) licenses and regulates Certifying Authorities and describes the government-backed eSign service, which enables electronic signing using a trusted service provider and identity authentication.
A private signing platform may collect a typed name, click, email verification, one-time passcode, identity check or certificate signature. Those methods can create different levels of assurance. Read the platform’s audit record and determine what it actually verifies. A vendor’s label “digital signature” does not itself prove that the process complies with the IT Act’s statutory definition.
E-stamping concerns stamp duty. It is a method by which stamp duty may be paid electronically through an authorised system, subject to the applicable state and instrument rules. It does not act as a signature or prove acceptance. The two can be used together: parties sign the final instrument electronically and keep the applicable e-stamp certificate attached or linked to it. The method, certificate and document must correspond to each other.
Is e-stamping valid across India?
There is no one online process that answers every state’s stamp requirements. The Indian Stamp Act, 1899, state stamp acts and state amendments determine what instruments are chargeable, the amount of duty and the permitted method of payment. A state may allow e-stamping for some instruments through an authorised system; rules, availability and process can differ across states and document types.
The central Act’s section 17 generally requires instruments chargeable with duty and executed in India to be stamped before or at execution. Section 18 addresses certain instruments executed outside India and first received in India, generally allowing stamping within three months after first receipt. State-specific laws and amendments may alter the analysis. The situs of execution and receipt, the parties’ locations and where the agreement will be used can matter.
Before choosing a method, identify the instrument’s substance. A short NDA, services agreement, indemnity, lease, power of attorney and property transfer may fall under different entries or laws. If the document combines several promises, its classification may need review. Do not pick a stamp value from a generic internet answer or assume an e-stamp used in one state is sufficient for every transaction.
What happens when a document is signed but not stamped?
An electronically signed document can be a contract and still be chargeable to stamp duty. Under section 35 of the central Stamp Act, an instrument chargeable with duty that is not duly stamped is generally not admitted in evidence unless the statutory conditions for payment of duty and penalty are met. The exact procedure, deficiency and consequence depend on the applicable state law and the type of proceeding. This does not justify saying that every unstamped document is void or that stamping is irrelevant.
Stamp duty and contract formation are distinct. A defect may create an admissibility objection, delay, penalty or cure process. The parties may still have other evidence of the bargain, but that does not eliminate the stamp-law issue. If a signed document is already unstamped, preserve the original electronic record and obtain advice before attempting to alter, backdate or replace it.
Arbitration clauses have received significant Supreme Court consideration. The Constitution Bench in In Re: Interplay Between Arbitration Agreements… addressed whether an unstamped or inadequately stamped instrument makes the arbitration agreement non-existent or invalid at the referral stage, while preserving the statutory stamping process. Read the official Supreme Court judgment for the holding and its limits. Do not summarise it as “stamp duty never applies to arbitration” or “an unstamped contract cannot be arbitrated.”
How to create a dependable online signing record
For a routine service agreement, the process should preserve evidence of both the terms and the signing event:
- Prepare one final PDF or document with a version number and date.
- Identify each individual signer, their company and authority to bind it.
- Use a signing method suited to the risk; record whether it uses an IT Act digital/electronic signature or another acceptance process.
- Capture the signer’s identity evidence, authentication method, timestamp and audit certificate where available.
- Preserve the final executed version and the audit trail in a controlled location.
- Pay the correct stamp duty using a method approved for the state and document.
- Keep the e-stamp certificate with the signed instrument and record its identifier.
- Send both parties the same final version and retain proof of delivery.
Fictional example: A Pune-based design studio signs a master services agreement with a client in Hyderabad using an online signing platform. The parties also need to pay stamp duty. The studio should not assume the platform’s signature certificate includes stamp duty. It should identify the governing state law and where the instrument is executed and received, verify the correct agreement entry and available e-stamp process, then retain both the platform’s signing certificate and the authorised e-stamp record with the same agreement version. If the parties later add an IP assignment or indemnity schedule, counsel should confirm whether the change affects classification or duty.
How to verify an e-stamp certificate
Use the official state or authorised e-stamping portal referenced by the relevant government authority. Confirm that the certificate identifier, purchaser, state, amount, date, instrument description and document match. Follow the official verification mechanism rather than relying on an emailed image or a third-party “stamp-paper generator.” Keep the result of verification and a copy of the certificate.
If the parties execute a document in counterparts, ask counsel how the documents and stamp payment should be linked. If one party signs abroad, check the rules for execution outside India and first receipt in India. If a document will be filed in court, submitted to a regulator or used in a land transaction, confirm any additional authentication, registration, notarisation, translation or adjudication requirements.
Common mistakes to avoid
| Mistake | Why it can cause trouble | Better practice |
|---|---|---|
| Treating e-signature as stamp payment | The laws address separate requirements | Verify stamp duty independently |
| Treating any typed name as a CCA digital signature | Identity and integrity assurance can differ | Describe the actual signing method accurately |
| Applying one fixed duty amount nationwide | State laws and instrument categories differ | Confirm state, instrument and current schedule |
| Signing one version and stamping another | The certificate may not correspond to the executed instrument | Keep the certificate and signed version together |
| Ignoring authority | A technically valid signature may not bind the company | Confirm signatory authority and approvals |
| Assuming all documents may be electronic | IT Act First Schedule has exclusions | Check document type and special statutes |
| Assuming unstamped means void or harmless | Admissibility, cure and validity are distinct | Get state-specific advice promptly |
Frequently asked questions
Is an e-signed agreement legally valid in India?
Often it can be, under the Contract Act and IT Act, if the parties formed a valid agreement and the document is not excluded or subject to another formality. The method must be assessed with the terms, authority and evidence. No signing platform guarantees enforceability.
Is a digital signature the same as a scanned handwritten signature?
No. A scanned image is a picture of a signature. A statutory digital signature uses the IT Act’s specified technique, while a scanned image or typed name may be evidence of assent without providing the same cryptographic authentication and integrity checks.
Does an e-stamp make the contract valid?
E-stamping can evidence payment of stamp duty where the method is authorised, but it does not prove consent, authority, certainty or lawful terms. It also does not automatically satisfy registration or notarisation requirements.
Can I pay stamp duty after signing?
For instruments executed in India, section 17 generally requires stamping before or at execution. Instruments executed abroad may be covered by section 18’s timing rule, subject to applicable state law. If a document was already signed without duty, seek advice on the available cure process rather than backdating it.
Does a private e-sign vendor need to be licensed by CCA?
That depends on what signature method the vendor provides. CCA licenses Certifying Authorities and the government eSign framework uses trusted service providers. Other electronic acceptance records may still be relevant to contract formation, but should not be inaccurately described as CCA-issued digital signatures.
Which state’s stamp law applies to a cross-state agreement?
It depends on the instrument, execution and receipt facts, applicable central and state provisions, and possibly where it is used. The parties’ choice of governing law does not necessarily settle stamp duty. Have local counsel confirm the correct law and procedure.
