Short answer: An agreement does not become invalid simply because it was negotiated or accepted online. Indian law recognises electronic records and electronic contracting, but the parties still need to form a sufficiently clear agreement, prove who accepted it, and follow any special execution or stamp-duty rules that apply to the document. A typed name, email reply, click-through button and regulated digital signature do not provide identical evidence.
This guide explains the general framework for ordinary freelance service agreements in India. It is not an opinion on a particular platform’s terms, a foreign-law contract, or an instrument that requires special formalities.
What makes an online contract binding?
The Indian Contract Act, 1872 sets out core contract principles. Sections 2–10 cover proposals, acceptance, communication, promises and what agreements are contracts. In practical terms, an online record should help establish the parties, offer, acceptance, essential terms, consideration, authority and intention to create legal relations.
The Information Technology Act, 2000 gives legal recognition to electronic records and electronic signatures. Section 10A says a contract is not unenforceable solely because proposals, acceptance or revocation were expressed electronically. It does not cure an uncertain scope, missing authority, coercion, fraud, lack of consideration where required, or a document that another statute excludes from IT Act recognition.
A freelance deal can be accepted through a signed PDF, an email confirming the attached terms, a click-wrap process, a message agreeing to a quote, or conduct such as starting the specifically offered work. The method is only part of the question. The record must connect the right person to the right terms at the time of acceptance.
Electronic acceptance is not the same as a digital signature
People use “e-signature” to describe several different acts. Typing a name at the bottom of an email, selecting “I agree,” pasting an image of a handwritten signature, signing through a commercial platform, and using a certificate-backed digital signature involve different identity checks and audit trails.
Under the IT Act, section 5 recognises electronic signatures when they meet the statutory requirements. The Controller of Certifying Authorities (CCA) explains India’s licensed digital-signature ecosystem and eSign service. A certificate-backed signature or compliant eSign may provide stronger evidence of signer identity and record integrity, but it does not prove that the signer had authority for a company, understood every term, or accepted a later modified version.
A plain email or click may still evidence acceptance under ordinary contract rules. The evidence becomes stronger when the process records the user, timestamp, IP or authentication context, document version, acceptance action and a copy sent to each party. For larger engagements, use a signing process that preserves an audit certificate and an immutable final document.
What records should the parties retain?
Keep a complete acceptance trail, not just the final PDF. Save the proposal and all attachments, the email or platform event showing acceptance, the version identifier or hash, sender information, timestamp and follow-up messages. Preserve records of later variations, approvals and notices in the same organised place.
| Record | What it helps establish | Practical retention step |
|---|---|---|
| Proposal or statement of work | Scope, price and assumptions | Save the exact version sent to the client |
| Acceptance event | Who accepted and when | Export the full email or platform certificate |
| Version history | Which terms were accepted | Record a version number, date or file hash |
| Authority evidence | Whether the person could bind the entity | Preserve role, procurement approval or signatory record |
| Performance records | Whether work was delivered and accepted | Keep files, delivery links and review comments |
| Payment records | Amount due and part-payments | Reconcile invoices to bank entries |
| Notices | Whether termination or breach notice was sent | Use the agreed address and keep delivery proof |
Electronic records can be used as evidence, subject to proof requirements. Sections 61–63 of the Bharatiya Sakshya Adhiniyam, 2023 address electronic or digital records and how their contents may be proved. Section 85 contains a presumption about electronic agreements in circumstances specified by the Act. Do not treat a screenshot or a platform’s marketing description as a substitute for preserving the underlying record and any required certificate.
Which documents are excluded from IT Act recognition?
Section 1(4) and the First Schedule of the IT Act exclude specified documents or transactions, subject to the statutory text and notified exceptions. The current Schedule, as amended by MeitY notification S.O. 4720(E) dated 26 September 2022, covers negotiable instruments with stated exceptions for certain instruments issued in favour of or endorsed by specified regulated entities; powers of attorney, with an exception for specified instruments empowering those regulated entities; trusts; and wills. The former First Schedule item covering contracts for sale or conveyance of immovable property was omitted. See the official MeitY Gazette notification and the CCA gazette index. Do not repeat the pre-2022 blanket property-conveyance exclusion.
Most ordinary freelance service agreements are not among the remaining listed exclusions. Electronic recognition under the IT Act does not remove other requirements: property transactions may still require registration and applicable stamp duty, and special instruments remain subject to their governing laws. Check the document and current statute before relying on electronic execution.
Does an online contract need stamp paper?
Electronic formation and stamp duty are separate questions. The IT Act’s recognition of electronic records does not automatically pay stamp duty. The Indian Stamp Act, 1899 and state amendments determine whether a particular instrument is chargeable, the amount, and when and how duty must be paid. The rate and process can depend on the state, the document’s substance and where it is executed or first received.
For an instrument executed in India, section 17 of the central Stamp Act generally requires stamping before or at execution; section 18 addresses instruments executed outside India and first received in India. State amendments and e-stamp procedures must be checked for the relevant place and instrument. An e-signature does not automatically eliminate a stamp-paper or e-stamp requirement. Read our digital-signature and e-stamping guide for the distinction.
Stamping, registration and signature should not be treated as synonyms. Not every agreement needs registration. Notarisation does not itself make terms clear or prove a platform signatory’s authority. Whether an unstamped instrument is admissible, can be cured, or affects a connected arbitration clause depends on the statute and current case law; get advice where the issue is material.
How to make a freelancer’s online signing process clearer
- Send one final version. Put the scope, fee, timeline, acceptance, IP, liability and dispute terms in a versioned document.
- Identify both legal parties. Use the freelancer’s business name or individual name and the client’s exact entity, not only a brand or project manager.
- Confirm authority. Ask that the person accepting can bind the client or has procurement approval.
- Use an explicit acceptance action. Ask the client to sign, click acceptance, or reply that it accepts the identified version.
- Record changes. Treat new scope, dates and fees as written variations and preserve the approver.
- Check stamp and other formalities. Verify state rules and document type before execution.
- Store a complete copy. Give both parties the final record, audit trail and any certificates.
Fictional example: Sana sends a ₹62,000 proposal to a startup’s operations manager, with a scope attachment and 14-day payment term. The manager replies, “Looks good, start Monday,” then later asks for a second language and extra screens. The initial email may evidence acceptance if it clearly identifies the proposal and the manager had authority. The added screens need a separate written change approval. Sana should save the entire thread and exact proposal version. If the startup later disputes the fee, a screenshot of the first message is less helpful than the full email, proposal and delivery record.
When should a lawyer review an online agreement?
Ask counsel when the project includes a high fee, exclusive IP transfer, a broad indemnity, uncapped liability, personal or sensitive data, regulated services, employees or contractors, an overseas party, foreign governing law, an arbitration seat, a long-term retainer, or a document whose stamping or registration is uncertain. Lawyer review is not legally mandatory for every ordinary freelance agreement, but a short review may be worthwhile when a clause could create exposure far beyond the fee.
The freelancer should also seek advice when the client disputes who accepted the terms, challenges signatory authority, claims the link or attachment was changed, or alleges that the agreement is void or unstamped. These are fact-specific questions, not platform-support problems alone.
Frequently asked questions
Is a WhatsApp message a valid online contract?
A message may evidence an offer and acceptance if it identifies the parties and sufficiently clear terms. Whether it proves an enforceable contract depends on context, authority and the full conversation. Preserve the export and original account rather than only a cropped screenshot.
Is typing my name the same as using a digital signature certificate?
No. A typed name may still be evidence of assent, but it does not necessarily use the regulated certificate-based method under the IT Act. A licensed digital-signature or eSign service can provide identity and integrity evidence; the precise method and audit record matter.
Can a client deny an agreement accepted by an employee?
The client can raise authority as an issue. Evidence may include the employee’s role, procurement process, prior dealings, company email, approvals and whether the company accepted the work. Verify authority for important contracts rather than relying on a job title alone.
Can I change the contract after both sides signed online?
A later variation can be agreed electronically if the parties intend to change the terms and the person approving has authority. Identify the old version, describe the change and preserve the acceptance event. Avoid replacing a file without recording what changed.
Are all contracts signed online enforceable?
No. The electronic method does not cure uncertainty, lack of consent, lack of authority, unlawful terms or formalities required by other laws. The First Schedule still excludes specified document classes, subject to the 2022 amendments and exceptions discussed above.
Does e-signing mean the agreement is stamped?
No. Signature and stamp duty are different legal requirements. Check the applicable central and state stamp law for the instrument, place and execution circumstances.
Before you click “accept”
- Confirm the final contract identifies the correct legal parties.
- Read incorporated web terms and preserve their version and date.
- Check scope, payment, acceptance, IP, liability and termination terms.
- Verify that the person accepting has authority.
- Preserve the final document and complete audit trail.
- Check stamp duty or other formalities separately.
- Ask counsel about cross-border, high-value or unusual risk clauses.
