A Brazilian offer labelled “PJ” should be reviewed in two separate ways: first, is the commercial deal financially and operationally acceptable; second, do the written terms and actual work arrangement raise a worker-classification question? A company’s choice of label, fixed monthly amount, benefits, or a fixed schedule does not answer the second question by itself. Record both the promise in the contract and what happens day to day before signing or escalating a dispute.
This guide is a document-review workflow, not a formula for declaring someone an employee. Brazil’s current national discussion is also procedurally active: the STF’s Tema 1,389 docket describes issues of competence, burden of proof, and the legality of civil or commercial service contracting. The STF’s June 2026 notice reported that cases could resume in first- and second-instance labor courts. A further 22 June 2026 docket order clarified the procedural limit: covered matters may proceed through the regional labor court’s judgment, then must be stayed immediately after the TRT issues its acórdão, without waiting for a further review-appeal period, pending the STF’s final merits decision. That is case-management direction, not a merits ruling that PJ contracting is lawful or unlawful. The official docket still showed Tema 1,389 pending as of 25 October 2026; check it and any case-specific order before relying on a status summary.
Separate the two decisions
The first decision is commercial: can the provider deliver the scope for the proposed fee, after taxes, contributions, equipment, insurance, paid time off, and unpaid gaps? The second is legal: what do the parties’ rights and the work’s real organization show under the applicable Brazilian rules? A higher PJ amount may improve the economics without resolving classification. Conversely, a difficult status question does not make every PJ services contract void.
Write down each question separately. This prevents a common negotiation error: comparing a PJ invoice amount with a CLT take-home salary as if they were identical numbers, then treating a desired compensation result as proof of legal status.
| Review track | Questions to answer | Evidence to retain |
|---|---|---|
| Commercial value | What is the gross fee, payment date, annual adjustment, tax/accounting cost, benefits, equipment cost, leave, notice, and renewal risk? | Offer, fee schedule, benefits description, tax/accountant estimate, invoice and payment terms |
| Contract scope | What result is promised? Who sets deliverables, acceptance, availability, location, hours, exclusivity, substitution, and termination? | Draft contract, statement of work, policies incorporated by reference, written negotiation history |
| Work reality | Who assigns work and priorities? Can the provider organize methods and time? Is the provider integrated into the client’s everyday team or systems? | Instructions, calendars, meeting expectations, access records, performance process, actual invoices and work records |
| Legal route | Is the concern about labor status, social-security classification, tax treatment, or a commercial breach? Which authority or court can decide that question? | Dates, location, contracting entities, company identifiers, role, payment records, prior proceedings |
What the Brazilian sources say, and what they do not decide
The official CLT compilation defines employer and employee in arts. 2 and 3, addresses nullity of acts intended to frustrate labor protections in art. 9, and provides in art. 442-B that an autonomous worker may be contracted, with or without exclusivity and continuously or not, subject to the statutory conditions. Read those provisions together. Do not reduce the legal analysis to “fixed hours means employee” or “a company invoice means independent contractor.”
Facts such as personal service, control over how and when work is performed, disciplinary supervision, integration into a business, economic independence, the ability to serve other clients, and who bears operating risk can matter in context. Their weight depends on the role and the complete relationship. A scheduled meeting or service-level deadline can be consistent with a genuine service contract; pervasive control over daily work may be relevant evidence, but no single fact decides the issue.
The STF Tema 1,389 docket frames a case about the licitness of hiring an autonomous worker or legal entity for services, allocation of proof when fraud is alleged, and which court has jurisdiction. The procedural history matters. A separate STF news release dated 18 June 2026 says the suspension was lifted for proceedings in the labor courts at first and second instance. The Court’s 22 June clarification says those proceedings stop immediately after a TRT judgment (acórdão), with no intervening review-appeal period, and remain stayed there until the STF decides the merits. Neither procedural order decides whether a particular PJ contract is lawful. Use the live docket and any case-specific order, and distinguish procedural developments from earlier precedents on related questions.
Build a pre-signing file before the first workday
Ask for the whole agreement, not only the compensation page. Identify the legal entities on both sides, the signer’s authority, the statement of work, data/confidentiality terms, any intellectual-property assignment, exclusivity or non-compete language, expenses, liability caps, renewal mechanics, and exit conditions. Check whether “benefits” are contractual service perks, reimbursements, or something described as an employee benefit. The label does not clarify who can change them or whether they continue during a pause.
If the draft requires a fixed location or schedule, ask what operational reason it serves and how exceptions work. If the client expects personal attendance, continuous availability, internal performance reviews, approvals for absences, or use of a manager’s queue, document that accurately. Do not deliberately create or alter records to support a legal position; preserve the real arrangement.
For current official process information, the Ministry of Labour and Employment and the Brazilian labor courts provide procedural information, while the STF docket describes the constitutional issue. A private offer calculator, forum reply, or online status quiz is not a binding determination. The provider and company can ask qualified Brazilian counsel to review the facts and identify whether an administrative or judicial route is appropriate.
Hypothetical: fixed hours plus a genuine deliverable
Assume Renata receives a proposed PJ contract to produce weekly sales reports for a Brazilian company. It lists a fixed monthly amount, weekday availability, remote work, and a “benefit” allowance. A team lead assigns customer accounts each morning and requires Renata to request permission to miss a workday. The contract, however, says she chooses the method, may serve other clients, and will be paid for accepted deliverables. She has not yet signed.
The useful next step is not to announce that one side has already won a classification dispute. Renata can ask for clarification of which hours are availability commitments, whether the allowance is expense reimbursement or fixed compensation, how a deliverable is accepted, who may change account assignments, and whether substitute personnel are permitted. She can compare the written answer with the actual onboarding plan. A lawyer can then assess the complete facts, including any business-entity and social-security consequences. If the relationship starts, Renata should keep truthful work records rather than relying on the contract heading months later.
Decision table: what should happen next?
| Situation | Immediate step | Avoid |
|---|---|---|
| You have not accepted the offer | Request the complete documents and negotiate unclear scope, availability, payment and exit terms | Relying on a verbal promise that contradicts the draft |
| The contract is signed but not yet underway | Ask for a written clarification or amendment and preserve the version history | Signing a backdated amendment or leaving side letters unsigned |
| Work has begun and actual practice differs from the contract | Keep a factual, dated record and obtain confidential Brazilian legal advice | Manufacturing evidence, secretly accessing records, or assuming one indicator settles status |
| You are considering a formal status request or claim | Ask counsel to identify the proper forum and current Tema 1,389 posture | Treating a pending STF issue as a final rule or assuming all cases are stayed/unstayed |
| You only need a compensation comparison | Model annual cash flow and risk separately from worker status | Calling a larger invoice “equivalent” without accounting for expenses and protections |
Frequent mistakes to avoid
- Treating the contract label as conclusive. The CLT and STF materials require reading the real facts and applicable doctrine, not only the heading.
- Treating one fact as conclusive. A schedule, single client, remote location, benefits line, or invoice may be relevant but must be considered in context.
- Mixing up employee and business negotiations. A provider may be a company in contract paperwork while the facts create a separate labor-law issue; one does not automatically erase the other.
- Confusing employment, tax and social-security questions. Different authorities, rules and consequences may be involved.
- Using an outdated summary of Tema 1,389. The STF docket and later orders can change; the June 2026 notice about resumption in lower labor courts did not resolve the merits.
- Ignoring ancillary terms. Confidentiality, IP, exclusivity, notice, penalty, and ownership provisions can materially affect the economics even when classification is not disputed.
For contract operations, a documented review can be organized with a contract consistency check, an obligation tracking workflow, and a legal document template change-control workflow. These are workflow references, not Brazilian legal authorities. For a related Brazilian contract issue, see the PJ termination-penalty review.
Pre-signing checklist
- Obtain the full contract, annexes, incorporated policies, and current statement of work.
- Confirm the contracting entity, invoice recipient, payment date, tax treatment and signatory authority.
- List the actual hours, location, instructions, review steps, team integration and ability to serve others.
- Separate deliverable acceptance from attendance, availability and performance-control expectations.
- Model annual compensation after leave, taxes, accounting, insurance, equipment and payment delays.
- Review termination, notice, exclusivity, intellectual property, confidentiality and liability clauses.
- Keep a copy of the signed version and a factual record of actual work practices.
- Ask Brazilian counsel which labor, social-security, tax or commercial issue is actually in scope.
- Recheck current STF Tema 1,389 docket status before stating a procedural consequence.
Frequently asked questions
Does a fixed schedule automatically mean a PJ worker is an employee?
No single schedule fact answers the question. The CLT provisions and relevant case law are applied to the whole relationship. A fixed availability window may be a negotiated service term in one context and evidence of control in another. Record why the schedule exists, how it is enforced, and how much autonomy remains over method and delivery.
Does signing a PJ contract prevent a later employment claim?
The contract is important evidence, but a heading cannot decide how a relationship was actually performed. Keep the signed terms and accurate operational records. A Brazilian lawyer can assess whether the facts and current law support a claim or defence.
Is a PJ contract illegal whenever the company offers benefits?
No. The nature of the payment, the contract wording, the work arrangement and other facts matter. Ask whether an allowance is reimbursement, a fixed service fee component, or an optional contractual benefit, and how it is administered.
What is the current status of STF Tema 1,389?
The official docket describes a pending question about the legality of service contracting, burden of proof and labor-court competence. The June 2026 order permits covered cases to move through first instance and the TRT; the 22 June clarification requires an immediate stay after the TRT’s acórdão, without waiting for a review-appeal period, until the STF’s final decision. This is a procedural direction, not a final classification rule. Check the live docket and the order in the particular case.
Should an offer be compared using only the monthly amount?
No. Compare annual cash received and costs, including tax/accounting expenses, unpaid leave, equipment, insurance, renewal risk, notice, benefits and late-payment exposure. Keep that financial model distinct from the legal classification analysis.
Can an online test decide my employment status?
An orientation tool can help organize facts, but it does not replace a binding decision by the competent authority or court. The DRV’s German status tool, for example, is not a Brazilian source or Brazilian decision process; use Brazilian law and local advice for a Brazil relationship.
What if the employer says the contract cannot be changed?
You can ask for written clarification, negotiate, decline, or seek advice before accepting. If you proceed, keep the actual terms and work practices documented. Do not assume informal assurances override signed clauses.
Should I wait for the STF case before deciding?
That depends on urgency, bargaining position, work already performed and the risk of accepting unclear terms. The current procedural status is not a guarantee of when a final decision will issue. Get tailored advice rather than relying on an estimated decision date.
What records should I keep after starting?
Keep the contract and amendments, statements of work, invoices and payments, deliverable approvals, meeting or schedule instructions, communications about autonomy, and a factual log of how work is assigned and performed. Preserve records lawfully and respect confidential information.
