When an employer offers to end a Portuguese employment contract by mutual agreement, an offer listing salary, holiday pay and other accrued items does not answer every question. Those earned or termination-related amounts are different from an additional payment negotiated for signing the agreement. The agreement also does not, by itself, guarantee unemployment benefit.
Before signing, separate three issues: what has already accrued, what the parties are agreeing to pay because employment ends, and whether the circumstances satisfy the unemployment-benefit rules. Then check the written instrument, its dates, any release language and the statutory withdrawal mechanism. The Portuguese Labour Code, Articles 349 and 350 supplies the central rules for an agreement and the worker's limited right to withdraw from it. The official consolidated text is a useful access point; for an individual dispute, confirm the current law and facts with a Portuguese employment professional.
This guide concerns employment in Portugal. A termination agreement is not the same as an employee resignation, a dismissal process, or a services-contract cancellation. For a document review process, see our practical contract redlining workflow. To organize a chronology and supporting records, see the legal case-intake workflow.
Separate earned amounts from the price of agreement
Start with a reconciliation, not the employer's headline number. Ask payroll to list each amount and the period it covers. Depending on the dates and circumstances, the calculation may include salary earned through the end date, accrued holiday pay or holiday allowance, proportional holiday amounts, proportional Christmas subsidy, expenses or other credits. Which items are due and how they are calculated depends on the employment record and applicable rules. Do not assume every line is owed in the same way in every termination.
Then identify any amount offered in exchange for agreeing to end the relationship. The Labour Code permits the parties to agree other effects within legal limits. It does not say that every mutual termination must include a standard extra severance payment. An employer may offer an additional amount; a worker may negotiate; and the parties may agree to no additional amount. Whether a particular agreement is valid, enforceable or affected by a defect in consent requires case-specific assessment.
Article 349(5) matters when the agreement or a document signed with it sets a global pecuniary compensation for the worker. In that situation the law presumes the global sum includes credits already due when the contract ends or that become due because of its termination. That does not mean the worker should leave the wording vague. Ask for the employer's calculation and a schedule that identifies the amounts, periods and whether the figure is described as accrued pay, compensation, or a global amount.
| Item | Question to ask | Record to keep |
|---|---|---|
| Salary through the effective date | What is the final day counted and what salary period is included? | Payroll statement and agreed effective date |
| Holiday-related amounts | Which holiday days and proportional amounts are included? | Leave balance and calculation |
| Christmas subsidy or other accrued credits | Is the amount due for the period, and how was it calculated? | Itemized termination calculation |
| Negotiated termination payment | Is this separate from earned credits or part of a global sum under Article 349(5)? | Exact agreement wording and payment schedule |
| Deductions or offsets | What legal or contractual basis and calculation support each line? | Supporting explanation and underlying record |
If a draft says that a global amount settles all claims, do not rely on a verbal explanation that some items are “obviously separate.” Ask for the text to state the intended breakdown. A label alone may not settle how a court or authority would interpret the agreement, but clear itemization makes the parties' positions more visible. The contract review workflow can help teams compare proposed language and record revisions; it does not decide whether a clause is enforceable.
Check form, dates and the withdrawal mechanism
Article 349 requires a mutual termination agreement to be written and signed by both employer and worker, with each keeping a copy. The document must state the date it is made, the date it takes effect, and the legal period to exercise the right to terminate the agreement. Read both dates carefully. The day of signature and the last day of employment may not be the same.
Article 350 generally allows the worker to end the revocation agreement by written notice to the employer up to the seventh day after the agreement date. If the worker cannot ensure receipt within that period, the statute provides for sending the communication by registered letter with acknowledgment on the next working day. Where compensation has been paid, the withdrawal is effective only if the worker simultaneously returns or makes the full amount available to the employer. The statutory exception is an agreement that is properly dated and whose signatures are notarized in person. These details mean the seven-day rule is not an unconditional cooling-off period.
If the worker is considering withdrawal, treat the time limit as urgent. Get individualized advice promptly, preserve proof of the agreement date and delivery method, and ask how any paid compensation must be returned or made available. Do not assume that sending a message after the deadline, returning only part of a payment, or relying on a general “cooling off” label will satisfy the statutory conditions.
Signing an agreement and later asserting that consent was defective are different questions. Pressure, misinformation, capacity, the agreement's text and the surrounding evidence may matter, but an article cannot determine those facts or predict a court's view. If the worker says they were induced to sign on a false promise, preserve the messages and documents and obtain prompt advice rather than altering or backdating the agreement.
Unemployment benefit is a separate eligibility decision
The agreement's label does not itself create unemployment-benefit eligibility. Decree-Law 220/2006 treats agreement termination as involuntary unemployment only in defined situations. Article 10 covers specified agreements integrated into a workforce-reduction process for restructuring, viability or recovery, or a qualifying difficult economic situation. Other statutory provisions address particular categories, including some agreements intended to reinforce a company's skills and technical capacity without reducing employment. Each category has its own conditions.
The law also sets limits for certain agreements counted as qualifying reductions. Those limits depend on employer size and a rolling period, and the employer has declaration duties about the grounds and applicable limit. Do not infer that the company qualifies because a manager uses words such as “restructuring,” “non-billable,” or “mutual separation.” Ask the employer to identify the exact legal ground and provide the declaration or supporting information required for the relevant route. Then ask Social Security whether the documents and facts satisfy current requirements.
Even if a termination reason falls within a statutory category, the worker must meet the general conditions for the benefit. Official Social Security guidance describes requirements including involuntary unemployment, availability for work, registration with the employment service, a qualifying contribution record and a claim deadline. The current Social Security Practical Guide to Unemployment Benefit explains the process and documentation, while the official text of Decree-Law 220/2006 contains the governing categories. Check the current version before relying on deadlines or forms.
Do not sign a statement saying statutory conditions are met if you have not seen the basis for it. Conversely, do not assume that the worker loses every possible benefit if an employer's quota or declaration is incorrect; the statute has specific consequences in some employer-induced situations. The effect depends on the provision, evidence and Social Security's determination. Get independent advice rather than accepting a promise or threat as the final legal answer.
A fictional example: compare the draft, not just the total
Rita works under an indefinite employment contract. Her employer proposes an end date by mutual agreement. The draft lists salary to that date, a proportional holiday amount and a single additional payment, then says the worker has no further claims. The employer also tells Rita that the agreement will let her receive unemployment benefit.
Rita asks for an itemized calculation and whether the additional amount is intended as a global compensation under Article 349(5). She requests the legal ground the employer says supports unemployment benefit, the required employer declaration and whether the agreement falls within the relevant limit. She checks the signature date, effective date, seven-day withdrawal provision, any notarization, and what must be repaid if she withdraws. She keeps the signed document, calculation, messages, payroll records and proof of every payment.
The example does not establish that Rita must receive extra compensation or qualifies for benefits. It shows what to verify before accepting the total. If the employer cannot substantiate the benefit representation, Rita should not treat the promise in a meeting as an eligibility decision. She can contact Social Security, ACT, her union or a qualified Portuguese employment lawyer before signing. If she has already signed and is considering withdrawal, the seven-day period and repayment condition make prompt advice important.
A practical review checklist
Before signing, confirm each of the following:
- The document is written, signed by both parties, and a fully signed copy is available to each.
- The agreement date and effective date are accurate and clearly distinct where appropriate.
- Each earned or termination-related credit is itemized with a calculation and coverage period.
- Any negotiated compensation is identified as separate or global, and the Article 349(5) presumption is understood.
- Any waiver, release, confidentiality term, repayment, property return or reference commitment is reviewed separately.
- The Article 350 withdrawal period, delivery method, simultaneous return of compensation and notarized-signature exception are understood.
- Any unemployment-benefit representation identifies the actual statutory category, employer declaration and applicable limits.
- General eligibility conditions and current application steps are checked directly with Social Security.
- All drafts, messages, calculations, signed copies and payment evidence are preserved in their original form.

Questions about ending a Portuguese employment contract by agreement
Does a mutual termination agreement have to be in writing in Portugal?
Yes. Labour Code Article 349 requires a written document signed by both parties, with a copy for each. It must state the agreement date, effective date, and the legal period for exercising the statutory withdrawal right.
Is the employer required to pay extra compensation for a mutual termination?
Article 349 allows the parties to agree other lawful effects, but it does not create a universal extra payment solely because they end the contract by agreement. Separate earned credits from any amount negotiated for the termination, and review the exact document and applicable rules.
What does the seven-day withdrawal right mean?
Article 350 generally permits the worker to withdraw by written communication through the seventh day after signing. If compensation was paid, the worker must simultaneously return or make the full amount available. The rule does not apply to a dated agreement whose signatures are notarized in person.
Does signing by mutual agreement automatically qualify me for unemployment benefit?
No. Decree-Law 220/2006 recognizes only specified mutual-termination situations, such as qualifying workforce reductions subject to statutory conditions and limits. General benefit requirements and the employer's declaration also matter; Social Security makes the individual eligibility assessment.
Does the agreement replace salary, holiday or Christmas-subsidy amounts already earned?
Do not assume that. Identify each accrued or termination-related credit and the separate negotiated amount. If a global pecuniary compensation is agreed, Article 349(5) creates a presumption about what it includes, so the wording and itemization deserve careful review.
What should I check before signing?
Confirm the signing and effective dates, payment items and amounts, any global-compensation or release language, the Article 350 withdrawal deadline and repayment condition, and the employer's stated unemployment-benefit grounds and limits. Keep a fully signed copy and ask Social Security or a qualified adviser about your specific eligibility.
This is general information about Portuguese employment documents, not legal advice. Benefit eligibility, accrued amounts, agreement validity and deadlines depend on the current law and individual facts. Check with Portuguese Social Security, ACT, a union or a qualified Portuguese employment professional before relying on an agreement or deadline.
