An employee in India is not automatically barred from joining a former employer's client after leaving. The answer depends on the timing, the employment contract, the nature of the restriction and what information or conduct is involved. Indian law treats a post-employment non-compete differently from a restriction during an active employment term. Confidentiality and misuse of trade secrets are separate concerns. A client relationship alone does not create a universal right for the former employer to block a new job.

This overview explains the key distinctions under section 27 of the Indian Contract Act and Supreme Court cases. It is not a substitute for reviewing the actual contract, applicable state rules, role and evidence. If you are still employed or serving notice, get advice before starting work for a client or competitor.

First identify when the restriction operates

The most important first question is whether the clause applies during employment or after employment ends. In Niranjan Shankar Golikari v Century Spinning and Manufacturing Co Ltd, the Supreme Court considered a negative covenant requiring an employee to serve exclusively for the employer during the contract term and to maintain secrecy about technical work. The Court held that a restriction operating during the subsistence of employment is not necessarily a restraint of trade under section 27, though a covenant may still be challenged if it is unconscionable, excessively harsh, unreasonable or one-sided. The official Supreme Court judgment provides the facts and reasoning.

The Court later discussed this distinction in Vijaya Bank v Prashant B Narnaware, 2025 INSC 691. The 2025 case cites Golikari and Superintendence Company (P) Ltd v Krishan Murgai in describing the difference between restrictions during the contract and restrictions after it ends. Read the official 2025 judgment alongside the older decision.

Once employment has ended, a clause preventing a person from carrying on a lawful profession, trade or business raises section 27 of the Contract Act. In Superintendence Company (P) Ltd v Krishan Murgai, which the Supreme Court discusses in Vijaya Bank, the Court distinguishes restrictions operating during the contract from those operating after it ends. Section 27 generally voids post-contract restraints, subject to its statutory exception and the exact legal character of the restriction. The official Contract Act text and official 2025 judgment are starting points.

Avoid reducing the law to a slogan. A clause may be framed as a non-compete, client restriction, non-solicitation, confidentiality term, garden leave, notice obligation or exclusivity promise. A court looks at substance, duration and when it applies. The same sentence can have different consequences depending on whether the employee has resigned, been released, remains on payroll, is in a notice period, or has a valid garden-leave direction.

Does “client” status change the result?

Not by itself. A former employer may have invested in a client relationship, but that fact alone does not create a nationwide ban on the employee joining that client. The contract may contain a client non-solicitation clause, confidentiality duty, non-dealing term or restriction during notice. Each should be assessed separately under the contract and applicable law.

Joining a client at its invitation may differ factually from using confidential pricing, proposal plans, customer lists or renewal data to divert business while still employed. It may also differ from actively soliciting the former employer's customers or colleagues. A legitimate confidentiality obligation can protect information; it does not automatically give the employer ownership over an employee's general skill, experience or publicly known contacts.

Keep a clean boundary between information types:

Information or conductCommon treatment question
General experience and skillsUsually part of the employee's professional capability; do not misstate confidential facts as general skill
Public client identity or contactPublic availability may matter, but source and context should be checked
Non-public rates, proposals or margin dataMay be protected confidential or commercial information
Client strategy and renewal plansMay be sensitive, particularly if current and non-public
Customer personal dataMay carry contractual and statutory data obligations
Soliciting a client during employmentCould breach duties or a contract, depending on facts
Accepting a post-exit role with a clientNot automatically prohibited by a client relationship alone

The India NDA clause checklist explains how to inspect confidentiality definitions, exclusions, permitted use, duration and non-compete add-ons. A confidentiality clause should not be used to smuggle in a broad post-employment work ban.

What if you have not finished your notice period?

Do not treat “I have resigned” as equivalent to “my employment has ended.” During a notice period, the contract and applicable service rules may continue. There may be duties of fidelity, confidentiality, exclusivity and handover. Starting work with a client before your last day can create a different issue from joining after a completed exit, even if section 27 would generally disfavor a post-employment restraint.

Check whether the employer has waived notice, released you early, placed you on garden leave, or asked you not to attend while remaining on payroll. Review your agreement and written directions. A garden-leave clause, pay-in-lieu arrangement or non-solicit term requires specific legal advice. Do not access old systems, forward files or use credentials after your access should end.

If the new employer is the former employer's client, tell your adviser about the relationship and timeline. Do not assume that the new employer will handle the issue, and do not agree to transfer documents or data from your former employer. The parties can structure a clean transition, but only after understanding contractual and data obligations.

Worked example: a client offers a role after resignation

Karan is a project manager at a consulting company. He resigns, serves his 60-day notice, completes the handover and receives written confirmation that his employment ends on 30 September. A client then offers him a role starting 15 October. His old agreement says he must protect confidential information and “shall not provide services to any client of the company for 12 months after exit.”

Karan should distinguish the broad client ban from the confidentiality clause. Section 27 and the post-employment restraint cases may make a broad restriction on lawful work difficult to enforce, but the exact clause and facts need review. The employer may still have a claim if Karan took non-public plans or solicited the client improperly before departure. Karan should preserve his resignation, last-day confirmation, handover record, the clause, and the job offer, and should not transfer client files or pricing information.

Now change the facts: Karan is still serving notice, and the client asks him to start immediately while he is still a paid employee. That raises the active-employment restriction and duty questions. Or suppose the client is a former customer, the 12-month clause covers only solicitation, and Karan independently applies through a public job posting. Those details can change the analysis. The phrase “joining a client” is not enough to decide the result.

If the former employer objects, first identify what it says you did: joined during employment, breached notice, solicited a customer, disclosed confidential information, retained documents, or violated a post-employment restriction. Ask for the clause and conduct it relies on. A private notice is not a court order, but it deserves a careful response if it includes a demand or deadline.

Preserve the letter, envelope, email headers, agreements, exit emails, job timeline and relevant handover records. Do not delete evidence, access systems without permission, or send the employer's confidential files to a personal email for “proof.” A lawyer can advise what to preserve and how to respond without disclosing more protected information.

An employer may seek an injunction or damages in an appropriate case, but it does not follow that the employer will obtain relief. The court will assess the clause, applicable law, urgency, evidence, conduct, and requested remedy. Do not threaten a defamation claim or counter-suit automatically. A mistaken legal position in a notice does not, by itself, prove actionable defamation.

Questions employees often ask

Can I join a client immediately after my last working day?

There is no automatic prohibition merely because the new employer was a client. Review post-exit clauses and ensure that you have finished employment, returned property and protected confidential information. Get advice if a clause specifically restricts client work or solicitation.

Is a post-employment non-compete enforceable in India?

Section 27 generally treats agreements restraining lawful trade as void to that extent, with a limited statutory exception. Supreme Court decisions distinguish during-employment exclusivity from post-termination restraints. The exact clause, relationship and remedy still need analysis.

Can my former employer stop me from working for a competitor during notice?

Your employment may continue through the notice period. A covenant operating during employment can be treated differently from a post-employment non-compete. Review the contract, waiver, garden leave, applicable rules and circumstances before starting a new role.

Can the employer stop me from contacting its clients?

It may have a confidentiality or non-solicitation claim depending on the contract and conduct. A broad client restriction may also operate as a restraint of trade. The distinction between soliciting, dealing, accepting an unsolicited approach and joining a client matters.

Can I use contacts I met through my old job?

Do not assume every contact is confidential or every contact is free to use. Consider whether the details are public, what the contract says, whether the information is non-public and whether you obtained it through a restricted database. Never export customer lists or personal data without authority.

What if I already signed an NDA with a broad non-compete inside it?

Read the clause as a whole. Calling it an NDA does not settle whether it restrains trade. A lawyer can assess whether the confidentiality language is separable from the work restriction and what obligations remain valid.

A departure checklist

  • Confirm your last working day and whether notice has been waived.
  • Locate the signed employment terms, amendments, NDA and garden-leave instructions.
  • Separate restrictions during employment from restrictions after exit.
  • Do not take files, customer lists, pricing, personal data or credentials.
  • Return company property and preserve proof of handover.
  • Keep your new role's recruitment process and start date documented.
  • Get advice before replying to a formal demand or injunction threat.
