An employer generally cannot withhold statutory wages solely because an employee declines to sign a new non-disclosure agreement. First check whether the amount is “wages” under the Code on Wages, whether Chapter III applies to the establishment, and whether a proposed deduction is authorised under the applicable law and rules. A new NDA can be proposed and may be worth negotiating, but that is a separate contractual question. Also separate wages from other full-and-final settlement items, because gratuity, bonus, leave encashment, expenses and contractual payments may follow different rules.
This guide is current to 24 October 2026. The Ministry of Labour and Employment states in its official commencement announcement that the four Labour Codes took effect on 21 November 2025. The Code on Wages, 2019 is therefore a central source for wage timing and deductions, subject to its text, rules, coverage and appropriate-government notifications. See the official Code on Wages.
First identify what money is being held
People often use “final settlement” or “F&F” to describe every amount due on exit. Legally, those amounts may not all have the same character or deadline. Make a table separating:
| Component | What it may include | Why separate review matters |
|---|---|---|
| Earned wages | Salary for days worked, overtime or other wage components | Code on Wages timing and permitted deductions may apply |
| Notice pay | Contractual payment for unserved notice, or amount due in lieu | Depends on contract, notice served and employer waiver |
| Leave encashment | Payment for eligible unused leave | Coverage and calculation may come from applicable law, policy or contract |
| Gratuity | Statutory benefit for eligible employees | Has its own eligibility and payment rules under social-security law |
| Bonus or incentives | Statutory bonus, commission or plan-based variable pay | Eligibility, earning conditions and payment dates differ |
| Reimbursements | Approved work expenses | Requires expense policy, proof and processing terms |
| Disputed recovery | Bond, advance, equipment loss or other alleged debt | A claim is not automatically an authorised wage deduction |
Ask HR for an itemised calculation that identifies gross amount, deductions, tax treatment, payment date and the contract or law relied on for each line. A single unexplained “F&F pending” status obscures the issue.
What does the Code on Wages say about timing?
Where Chapter III applies, section 17(2) of the Code on Wages provides that when an employee has been removed or dismissed, retrenched, has resigned, or became unemployed due to closure, the wages payable must be paid within two working days of the relevant event. The section also preserves the possibility that the appropriate Government may prescribe another reasonable time limit, and it does not affect another applicable law's payment time. Section 25 excludes Government establishments from Chapter III unless the appropriate Government applies it to specified establishments by notification. Check coverage and current rules and notifications for the jurisdiction involved. The Ministry's wage-timing explainer summarises the rule.
That is a statutory wage rule where the chapter applies; it is not a promise that every non-wage component of F&F must be calculated and cleared in two days. A separate benefit may have its own deadline. Do not overstate section 17 as a universal deadline for all exit money.
The Code's definition of “wages” and exclusions must be applied to the pay structure. Some compensation components may count; some may not. A payroll label alone does not settle classification. If the employer delays a component, ask whether it considers it wages and why, then check that position against the Code and applicable rules.
Can the employer make a deduction for refusing a new NDA?
Where Chapter III applies, section 18(1) says there shall be no deductions from an employee's wages except those authorised under the Code. The section lists types of authorised deductions and includes limits and procedures for particular categories. It also caps the aggregate amount of deductions in a wage period at 50 per cent of wages. Section 25 excludes Government establishments from Chapter III unless the appropriate Government applies it to specified establishments by notification. Section 60 addresses contracting out, and section 61 deals with inconsistent laws and agreements. Read the official text rather than relying on an HR summary.
Refusal to sign a new NDA is not, by itself, an obvious listed deduction category. If Chapter III applies, the employer may have a contractual claim for a separate debt or loss, but that does not automatically permit it to retain earned wages. For example, a genuine advance, an authorised deduction, a court order or a statutory obligation may require separate treatment. A disputed bond, equipment claim or notice-pay demand should not simply be relabelled as salary withholding.
The Code has distinct provisions for specific deductions such as fines, absence, damage or loss, services, advances and loans. Their conditions are not interchangeable. A damage deduction, for instance, has statutory requirements about attribution and procedure. An employer should identify the precise section and facts it invokes, rather than claim a general right to set off any alleged amount.
A new NDA is a new contractual question
An employer can ask an employee to sign a confidentiality agreement at exit. That does not make signature automatically compulsory where no existing term requires it, and it does not automatically allow the employer to hold wages. The employee should compare the proposed text with existing offer letters, confidentiality clauses, policies and intellectual-property terms.
Review at least:
- Definition: Does it cover genuinely confidential information, or sweep in public knowledge, general skill and experience?
- Exclusions: Does it exclude information already known, independently developed, public through no breach, or lawfully received from another source?
- Purpose and permitted use: Does it restrict use only for legitimate business interests?
- Duration: Is the term reasonable for the information involved? Trade secrets may remain sensitive while secret; ordinary information may not justify an unlimited restriction.
- Disclosure required by law: Can the employee comply with a court, regulator or protected reporting obligation?
- Non-compete additions: Does the NDA quietly add a ban on joining a competitor or serving a client? In India, a post-employment restraint raises a separate section 27 issue.
- Remedies and forum: Are the remedies, governing law and dispute mechanism clear and lawful?
- Existing rights: Does the document expand obligations beyond the prior employment contract or create a new indemnity?
See the India NDA clause checklist for a clause-by-clause review process. An employee can offer reasonable confidentiality wording, ask for changes, and return company information without signing a broader new restriction. A company can protect confidential material through properly drafted terms and access controls rather than using wage delay as pressure.
Worked example: wages are paid only after signature
Dev resigns from a software company. HR confirms his final month of salary but says it will be transferred only after he signs a new NDA with an indefinite term, a broad “all business information” definition and a clause barring him from working with any customer for two years. The company also says it is still calculating his leave balance.
Dev should first ask for an itemised statement that separates earned wages, leave encashment and any other exit components. He should preserve the resignation acceptance, payslips, NDA draft, HR messages and his employment agreement. He can state that he is willing to return company property and comply with existing confidentiality obligations, while asking the company to identify the legal or contractual basis for linking wages to the new NDA.
The NDA should be reviewed separately. The two-year customer restriction may operate as a restraint or non-solicitation term; it should not be accepted without legal analysis. The earned-wage question should be checked against section 17 and any relevant state rule. The leave calculation may not be governed by exactly the same deadline. Dev should avoid signing under pressure, but should also avoid copying, keeping or disclosing company data. If wages remain unpaid, he can obtain advice on the appropriate labour authority and claim process for his jurisdiction.
What to do if payment is delayed
- Write down the timeline. Record resignation date, last working day, days worked in the final wage period, and every payment received.
- Request a component-wise statement. Ask HR to separate wages from other F&F items and identify every deduction.
- Ask for the legal basis. For any withheld wage or deduction, request the exact Code provision, rule, order, consent or contract term relied on.
- Preserve records. Keep the signed agreement, proposed NDA, payslips, attendance data, bank statements, resignation acceptance and employer communications.
- Return property safely. Document handover of laptop, card, keys and records. Do not retain confidential data as bargaining leverage.
- Escalate through the right channel. The Code on Wages provides claims and dispute mechanisms, but the competent authority and procedure depend on jurisdiction and current rules. Get local advice before filing.
- Treat court papers as urgent. A private HR email is different from a summons or order with a court deadline.
Do not post confidential workplace documents publicly while seeking help. Redact personal and commercial data, and share only what an adviser needs.
FAQs
Is signing a new NDA compulsory when I resign?
Not automatically. An existing contract may already contain confidentiality duties, and a new agreement can be negotiated. Whether you must sign depends on the existing terms and the proposed agreement. A new document may add restrictions and should be reviewed before signature.
Can an employer hold earned salary until I sign a new NDA?
Where Chapter III of the Code on Wages applies, section 17 sets a payment deadline for wages after resignation, subject to applicable notifications and rules, and section 18 restricts deductions to authorised categories. Section 25 excludes Government establishments unless the appropriate Government applies the Chapter by notification. Refusal to sign a new NDA is not, on its face, a general wage-deduction category. Confirm wage classification and coverage, then get jurisdiction-specific advice.
Does the two-day rule cover all of my F&F?
No blanket answer. Section 17 concerns wages. Gratuity, bonus, leave encashment, expense reimbursement and contractual notice pay can be governed by different rules or facts. Request an itemised calculation and check each item separately.
Can the employer deduct bond or notice pay from my final salary?
Do not assume a contractual claim automatically qualifies as a deduction under section 18. The employer should identify an authorised category and meet its conditions. Whether a separate amount is legally owed is distinct from whether it can be deducted from wages.
What if I already signed a confidentiality clause in my offer letter?
Read it. The existing clause may continue after exit and could already protect specified information. Compare definitions, duration, exclusions, disclosure rights and remedies with the new draft. Do not sign a wider document just because it is described as “standard.”
What if the employer withholds my relieving letter as well?
Keep that issue separate from wage entitlement. Ask for the reason and the document or policy relied on, return property, and preserve the record. The right process may depend on state law, service rules and your role. Avoid making unverified allegations in response.
Checklist before you sign or escalate

- Compare the new NDA with existing obligations and inspect added restrictions.
- Preserve employment, payroll, handover and communication records.
- Return company property and avoid retaining confidential information.
- Check current state or central rules and obtain local employment advice.
